Clearwater International advises Achmea, Pensioenfonds PGB, and CGI on the joint acquisition of InAdmin RiskCo

Clearwater International has advised a consortium consisting of Achmea, the largest insurance group in the Netherlands, Dutch pension fund Pensioenfonds PGB, and IT service provider CGI, on the acquisition of the Dutch company, InAdmin RiskCo.

With the acquisition, the consortium sets up a new software platform for pension administration services. The platform will be based on the RiskCo Administratie Platform (RAP) of InAdmin RiskCo. The transaction is subject to regulatory approval.

The acquisition marks the tenth successful transaction in which Clearwater International supports Achmea. Earlier, Clearwater advised Achmea on the sale of Winnock to Zorg van de Zaak, Health Centers to Fitland, and Medinova to NPM Healthcare.

Achmea is the largest health insurer in the Netherlands and is well-known for brands such as Centraal Beheer, FBTO, Interpolis, and Zilveren Kruis. With around 16,000 employees, the company is active in four European countries, Canada, and Australia. Achmea also realised a premium turnover of approximately €20bn in 2019.

Pensioenfonds PGB is a pension fund for graphic companies and is active in 14 sectors. The company manages pensions for approximately 93,000 employees and works for 2,580 employers. With total assets under management over €29bn, Pensioenfonds PGB places in the top 10 of the largest Dutch pension funds.

CGI is an international IT service provider with approximately 78,000 employees. The company offers a wide range of services, including business consulting, system integration services, and managed services. The company is listed and realised a revenue of C$12.1bn in 2019.
